Unless explicitly authorized in writing, each individual or organization may maintain only one active account. Creating multiple accounts to circumvent restrictions, access free trials repeatedly, or manipulate platform features is prohibited.

We reserve the right to modify, suspend, or discontinue any aspect of the services at any time, with or without notice, and without liability to you.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your personal or internal business educational purposes in accordance with these Terms.

All content available on the platform, including but not limited to text, graphics, videos, audio, software, curriculum materials, and interactive tools, is the exclusive property of Cerevyny or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

If you submit, upload, or share any content on the platform, including messages, feedback, project work, or responses, you grant Cerevyny a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, adapt, and display such content solely for the purpose of operating and improving the platform.

You represent and warrant that you own or have the necessary rights to submit such content and that it does not infringe any third-party rights.

Any suggestions, ideas, or feedback you provide regarding the platform may be used by Cerevyny without restriction or compensation to you.

Access to certain services requires payment of applicable fees as described at the point of purchase. All fees are stated in the currency presented at checkout and are inclusive of applicable taxes unless otherwise specified.

Subscription-based services are billed on a recurring basis according to the plan selected. You authorize us to charge the payment method on file at the start of each billing cycle unless you cancel prior to the renewal date.

If a payment cannot be processed, we reserve the right to suspend or restrict access to your account until the outstanding balance is resolved. We may attempt to charge your payment method multiple times before suspending access.

We reserve the right to modify pricing at any time. For existing subscribers, price changes will take effect at the next billing cycle following notice of the change.

Refund eligibility is determined by the specific terms presented at the time of purchase. Unless explicitly stated otherwise in writing, all fees paid are non-refundable once access to the service or content has been granted. If you believe you are entitled to a refund, please contact us at support@cerevyny.com within 7 days of your purchase date, and we will review your request on a case-by-case basis.

You may cancel your subscription or close your account at any time by contacting us at support@cerevyny.com or through account settings where available. Cancellation takes effect at the end of the current billing period unless otherwise specified. No partial refunds are issued for unused time within a billing cycle.

We reserve the right to suspend or permanently terminate your account at our sole discretion, with or without notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or posed a risk to the platform, other users, or third parties.

Upon termination, your right to access the platform and its content ceases immediately. Provisions of these Terms that by their nature should survive termination — including intellectual property rights, disclaimers, limitations of liability, and dispute resolution — will continue to apply.

Your use of the platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the collection, processing, and use of your information as described in the Privacy Policy. We encourage you to review it carefully.

The platform may contain links to or integrations with third-party websites, tools, or services. These are provided for convenience only. We do not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party service. Your interactions with third parties are solely between you and that third party.

Educational outcomes, career advancement, or any specific results from using our services are not guaranteed. Individual results will vary based on effort, background, and circumstances outside our control.

We do not warrant that the platform will be available without interruption, error-free, or free from technical issues. We may perform maintenance, updates, or modifications that temporarily affect access.

The platform and all content are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by applicable law, Cerevyny and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising from or related to your use of or inability to use the platform.

In no event shall our total aggregate liability to you exceed the total amount paid by you to Cerevyny in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless Cerevyny and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with your use of the platform, your violation of these Terms, your submission of content, or your infringement of any third-party rights.

In the event of any dispute arising out of or relating to these Terms or your use of the platform, both parties agree to first attempt to resolve the matter through good-faith negotiation. You may contact us at support@cerevyny.com to initiate this process.

If good-faith negotiation fails to resolve the dispute within 30 days, either party may elect to resolve the dispute through binding arbitration administered by a recognized arbitration body. The arbitration shall be conducted in English. Each party shall bear its own costs unless the arbitrator determines otherwise.

You agree that any dispute resolution proceedings will be conducted on an individual basis only. You waive any right to participate in class actions, class arbitrations, or representative proceedings of any kind.

These Terms shall be governed by and construed in accordance with applicable general principles of international commercial law, without regard to conflict of law provisions. Where mandatory local law applies, nothing in these Terms shall be construed to limit your statutory rights.

We reserve the right to revise these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you via email or a prominent notice on the platform. Your continued use of the services after such notice constitutes acceptance of the revised Terms.

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

These Terms of Use, together with our Privacy Policy and any additional agreements you enter into with us in connection with specific services, constitute the entire agreement between you and Cerevyny regarding your use of the platform and supersede all prior or contemporaneous communications, whether written or oral.
